Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Synthesis Benefits platform, website, and related services (collectively, the "Service") provided by Synthesis Benefits ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility and Account Registration

The Service is intended for use by dental practices, dental service organizations, and their authorized personnel. By registering for an account, you represent that:

  • You are at least 18 years of age.
  • You have the authority to bind your organization to these Terms.
  • The information you provide during registration is accurate and complete.
  • You will maintain the security of your account credentials and are responsible for all activity under your account.

2. Description of Service

Synthesis Benefits is a dental insurance intelligence platform that helps dental practices manage insurance verification, benefit tracking, claims management, patient scheduling optimization, and related operational workflows. The Service includes:

  • Automated insurance eligibility verification
  • Benefit usage tracking and expiration alerts
  • Claims status monitoring and denial management
  • AI-powered scheduling and revenue optimization
  • Patient communication tools for recall and reactivation
  • Practice analytics and reporting

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service in violation of any applicable law or regulation, including HIPAA, state privacy laws, or insurance regulations.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
  • Transmit any malicious code, viruses, or harmful content through the Service.
  • Use the Service to store or process data unrelated to your dental practice operations.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute access to the Service without our written consent.

4. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, HIPAA Compliance Notice, and Business Associate Agreement (BAA). You acknowledge that the Service may process Protected Health Information (PHI) as defined under HIPAA, and that a BAA must be executed between your practice and Synthesis Benefits before any PHI is processed through the Service.

4.1 Your Data

You retain all rights to the data you submit to the Service ("Your Data"). You grant us a limited license to process, store, and transmit Your Data solely for the purpose of providing the Service. We will not sell, share, or use Your Data for purposes unrelated to the Service.

4.2 Data Security

We implement industry-standard security measures to protect Your Data, including AES-256-GCM encryption for sensitive fields at rest, TLS encryption for data in transit, and role-based access controls. For details, see our HIPAA Compliance Notice.

5. AI Features and Limitations

The Service includes AI-powered features for insurance analysis, scheduling optimization, and practice insights. These features are intended to assist practice staff in making informed decisions. You acknowledge that:

  • AI-generated recommendations are informational only and do not constitute professional, legal, or medical advice.
  • AI outputs should be reviewed by qualified practice staff before acting on them.
  • Insurance verification results should be confirmed with the carrier for high-value procedures.
  • We are not liable for decisions made based on AI-generated recommendations.

6. Fees and Payment

The Service is offered at $1,000 per month per practice location. This includes unlimited users, full platform access, dedicated onboarding, and ongoing support. No setup fees apply and no long-term contract is required. We reserve the right to modify pricing with 30 days' written notice. All fees are non-refundable except as required by applicable law.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to factors beyond our control. We will provide reasonable notice of planned maintenance when possible.

8. Intellectual Property

The Service, including its software, design, features, and documentation, is owned by Synthesis Benefits and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets. You may not copy, modify, or create derivative works of the Service.

9. Third-Party Integrations

The Service may integrate with third-party systems such as practice management software, insurance clearinghouses, and communication platforms. We are not responsible for the availability, accuracy, or security practices of third-party services. Your use of third-party integrations is subject to those providers' terms and conditions.

10. Limitation of Liability

To the maximum extent permitted by law, Synthesis Benefits shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim arising under these Terms shall not exceed the fees you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Synthesis Benefits and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

12. Termination

Either party may terminate these Terms at any time with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms or if required by law. Upon termination:

  • Your access to the Service will cease.
  • You may request an export of Your Data within 30 days of termination.
  • We will delete Your Data within 90 days of termination, except as required by law.

13. Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Massachusetts. Any disputes arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association, with proceedings held in Boston, Massachusetts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Beta and Demo Usage

The Service may be made available in a beta or demonstration capacity. During beta or demo periods, the following additional terms apply:

  • The Service is provided "as is" without warranty of any kind.
  • You shall not process real Protected Health Information (PHI) through the Service until (a) a signed Business Associate Agreement is in place and (b) Synthesis Benefits has confirmed that the production infrastructure meets HIPAA requirements.
  • Demo environments may use synthetic or sample data for evaluation purposes.
  • Beta features may be modified, suspended, or discontinued without notice.
  • Synthesis Benefits may limit availability, functionality, or support during beta periods.
